Had same problem upgrading from ubuntu 8 to ubuntu 9.10. I managed to boot the system using alternative kernel image selection from GRUB boot. (Generic kernel boots ok, while pae karnel had issues describe at the beginning).
Hope this helps - since this way there was no need to download live CD....
